Orissa orders attachment of Saradha Group assets


The Naveen Patnaik government has ordered attachment of properties of Kolkata-based chit fund company Saradha Group under investigation in West Bengal and Orissa for allegedly defrauding investors of Rs 20,000 crore.

Two days ago, the Orissa finance department passed an interim order for attachment of over 14 acres of land, and freeze Rs 2,740 crore of the group in IDBI account in Balasore district.

The finance department on November 30 passed an ad-interim order (The Indian Express has a copy of the order) attaching properties of the group under section 3 of Orissa Protection of Interests of Depositors (in Financial Establishments) Act, 2013 and transferred properties in the said schedule to additional district magistrate (ADM) Balasore, the competent authority under the Act.

The ADM would apply within 30 days to the designated court for making an ad-interim order of attachment absolute and for a direction to sell property attached by public auction and realize sale proceeds within 180 days.

"It is revealed that financial establishments are acting in a calculated manner with an intention to defraud investors of their legitimate dues. The properties are alleged to have been procured either in the name of the said financial establishments or in the names of other persons from and out of deposits collected by it...", the order said.

As per the ad-interim order, land was purchased in the name of Saradha Realty India Ltd by its managing director Sudipta Sen and director Debika Dasgupta in Balasore 5-6 km from the DRDO Interim Test Range.

The Economic Offences Wing of Orissa's Criminal Investigation Department (CID) has not put a value to the attached land. In Orissa, the loss is about Rs 70 crore. The CID registered two cases against Sen and group director Debjani Mukherjee.

Two employees of the Balasore branch have been arrested. CID is planning to get Sen and Mukherjee to Orissa for interrogation. The Patnaik government in July constituted an inquiry by retired HC judge R K Patra to look into involvement of influential persons in protecting or promoting fraudulent chit funds. The Commission received over 8 lakh envelopes, each containing one or more affidavits that are now being registered. Though the Commission was supposed to submit a report within three months of its constitution, it looks unlikely as it has to go through huge number of affidavits.

Reveal source of Rs 22k cr paid to investors: SC to Sahara

Sahara's two real estate companies have been given two weeks to respond

While the restraint on Sahara boss Subrata Roy from going abroad was retained, the Supreme Court today asked his two real estate companies to disclose in two weeks the source of funds if they had repaid  Rs 20,000 crore to its investors in bonds, as they claimed. 

The companies have maintained that they have repaid 90% of the investors. If that was so, the judges said, the source should have been reflected in the balance sheet. The court order to return the investment is two years old, but it has not been done according to Sebi.

The bench headed by Justice K S Radhakrishan told Sahara counsels that the companies will definitely  have to return the money. “Now we will call the Registrar of Companies to find out the source of money and even order a CBI inquiry into the whole affair,” the judge said.

“The court is not helpless; we will see that that our order is fully complied with,” the judges observed in a fusillade of observations against the companies. They pointed out that the order to return the money to the investors was passed two years ago, and subsequently Sebi had moved the court for contempt action. That was nine months ago. “We don’t want to burden the Sebi anymore,” the judges said threatening to take the fight to the Registrar of Companies who they said was not doing anything in the matter.

“We have given maximum indulgence. We are driven to call the Registrar,” the court remarked. “If you take the history of the case, there is inconsistency in every affidavit filed by the Sahara companies. We have been most generous in this matter, but you don’t appreciate our indulgence.”

Though the court expected the Sahara firms to provide sufficient securities in the nature of title deeds of assets which could guarantee the refund to the investors, Sebi counsel Arvind Datar today pointed out that all the property titles are shaky. Amby Valley project in Maharashtra is riddled with litigation and false power of attorney transactions for which one key person has been arrested. Moreover, the entire project is without environment clearance for which litigation is pending.

Some other properties in other parts of the country also have been valued exhorbitantly to meet the court’s demand for adequate security. In several cases, the property was bought for a sum and the valuation showed more than 50 times appreciation in ten years. Some deeds are not traceable, Datar said.

In view of the objections of Sebi about the title deeds, there was no arguments about Roy going out on business as the permission was conditional on sufficient security to the satisfaction  of Sebi.

Sebi had raised contempt action with regard to Sahara’s advertisements in all leading papers about the pending cases.  The court had at last hearing ordered publication  of apology in all the papers with equal prominence. The judges said in a lighter vein that they read all the newspapers and they have not been able to spot any apology so far. It should be done before Janauray 28, when the case will be heard again, after the production of title deeds with adequate security.

ED files laundering case against two Sahara firms

MUMBAI: In what may spell more trouble for the Sahara Group and its chief Subrata Roy, the Enforcement Directorate (ED) on Thursday registered cases under PMLA against two firms. A Sahara Group spokesperson refused to comment, saying he wasn’t aware of the development.
In what may spell more trouble for the Sahara Group and its chief Subrata Roy, the Enforcement Directorate (ED) in Mumbai on Thursday registered cases under Prevention of Money Laundering Act (PMLA) against two firms.

The ED will soon issue summons to Roy and three directors of the group asking them to remain present before the central agency to record their statements.

The ED registered two separate cases following complaint filed by market regulator Securities and Exchange Board of India (Sebi).

Sebi had accused Sahara India Real Estate Corporation Ltd (SIRECL) and Sahara Housing Investment Corporation Ltd (SHICL) of committing various illegalities while raising Rs24,000 crore from investors. The companies had raised the amount by issuance of certain bonds.

In February, Sebi ordered freezing of properties of the two firms and their top executives.

The action came following a Supreme Court (SC) directive ordering the firms to refund money with certain interest. The SC had also instructed Sebi to give refunds to genuine investors from the money the group had deposited with the market regulator.

ED officials said now that cases had been registered formal investigation wil begin against the two companies.

Sources said the agency wil verify information that crores of rupees have been transferred outside the country in the name of investment. It also wants to verify allegations that a large number of investors were dummy and that many shell companies had invested in the group.

According to sources, the ED is also investigating if money was routed to Mauritius in 2011.

Officials said the bank details submitted by the group also raises many questions on the investments.

A Sahara Group spokesperson refused to comment saying he wasn't aware of the development.

Sahara India under EPFO scanner for payment defaults

Sahara India, which is already being investigated by market regulator Sebi, has now also come under the scanner of the provident fund department and is amongst the top defaulters of the Employees' Provident Fund Organisation (EPFO) in the country.

Five of the group firms including Sahara India Financial Corporation and the former Sahara Airlines are part of the top 50 companies in the country that have defaulted on depositing contributions to the Employees' Pension Fund on behalf of its employees.

Official data reveals that in total, the Subrata Roy-promoted group owes Rs 3,341.67 lakh to the EPFO as dues (see chart).

These largely relate to the Employees' Provident Fund (EPF) linked Employees' Pension Scheme.

Under the scheme, 8.33 per cent from the 24 per cent provident fund contributions (12 per cent as employees' share and 24 per cent of employer's share) are deposited.

According to the Employees' Provident Fund Act, it is a criminal offence for an employer to deduct but not deposit employees' provident fund and related contributions. In such cases, the EPFO can also seize property of the defaulter to recover dues and the defaulter can be charged under Sections 405 and 420 of the Indian Penal Code.

Significantly, Sahara India first came under the EPFO's radar after it published numerous advertisements in national newspapers that boasted of a 10 lakh plus workforce.

Following this, the provident fund department had asked the group to furnish details of its employees.

But the Lucknow headquartered group then approached the Allahabad High Court against the notice. It was however directed by the High Court earlier this year to submit all relevant details to the provident fund department.

More than one email from The Indian Express sent to Sahara got no response from the group.

Sahara is already under investigation the by market regulator Sebi in a refund case involving over Rs 24,000 crore it collected from over three crore investors.

The Securities Appellate Tribunal is understood to take up for hearing sometime this week an appeal by Subrata Roy against a Sebi order to freeze his assets, along with similar appeals filed by two Sahara group firms and three other directors.

सहारा घोटाला: सुप्रीम कोर्ट ने सहारा से पूछा, आपका इरादा क्या है


नई दिल्लीः 'आपके इरादे संदेहास्पद हैं। आप यहां जाते हैं, वहां जाते हैं, ये फाइल करते हैं, वो फाइल करते हैं, लेकिन क्या आपने पैसा लौटाया है?...आपका पैसा लौटाने का कोई इरादा नहीं है, क्यों?' सुप्रीम कोर्ट कभी-कभार ही इस तरह के तल्ख शब्दों का इस्तेमाल करता है। सोमवार को उसने सहारा ग्रुप के लिए इन्हीं अल्फाज का इस्तेमाल किया।

अपनी दो कंपनियों के इन्वेस्टर्स को पैसा लौटाने संबंधित मामले में सोमवार को सहारा ने न्यूज पेपर्स में विज्ञापन देकर अपना पक्ष रखने की कोशिश की थी। कोर्ट ने 15 फीसदी इंटरेस्ट के साथ 17,400 करोड़ रुपए सेबी को नहीं देने के लिए सहारा ग्रुप को फटकार लगाई। बाद में सेबी इस पैसे को सहारा के इनवेस्टर्स को वापस करता।

सुप्रीम कोर्ट ने सहारा से पूछा कि क्या हफ्ते भर में वह यह पैसा लौटा सकता है। पहले सेबी को पैसा देने के लिए 30 नवंबर 2012 की डेडलाइन तय की गई थी। जस्टिस अल्तमस कबीर और जे चेलमेश्वर की दो मेंबर वाली बेंच ने सहारा की दलील नहीं मानी।

सहारा ग्रुप, इन्वेस्टर्स की जानकारी देने के लिए सेबी के पास ट्रक भरकर डॉक्युमेंट्स भेजने और पैसा लौटाने के मामले में अपना पक्ष रख रहा था। सीजेआई कबीर ने सहारा के वकील गोपाल सुब्रमण्यम से पूछा, 'ट्रक भर दस्तावेज को भूल जाइए। आप डिफॉल्ट कर चुके हैं(30 नवंबर तक पैसा लौटाने के संदर्भ में)। पैसे का क्या हुआ? आपने क्या किया है? आपने पैसा क्यों नहीं लौटाया?'

सुब्रमण्यम ने कहा कि कंपनी ने पैसा सेबी को ऑफर किया था, लेकिन उसने मना कर दिया। इसके बाद सहारा ने सेबी को पैसा एक्सेप्ट करने को कहने के लिए सिक्युरिटीज अपेलेट ट्राइब्यूनल(सैट) का दरवाजा खटखटाया। सुब्रमण्यम ने दावा किया कि उनके पास 5,000 करोड़ रुपए के पे-ऑर्डर हैं, लेकिन सेबी के पास इसे बांटने की कोई योजना होनी चाहिए। नहीं तो यह पैसा इन्वेस्टर्स को नहीं मिलेगा, जैसा कि गोल्डेन फॉरेस्ट्स केस में हुआ था। लेकिन, बेंच के आगे यह दलील नहीं ठहर सकी। जस्टिस कबीर ने सहारा के वकील को एक और फटकार लगाई।

उन्होंने कहा, 'आपकी पैसे लौटाने की मंशा नहीं है, क्या आपकी मंशा है? कोर्ट के ऑर्डर का मतलब निकालना आपका काम नहीं है। अपने कंडक्ट का बचाव करने की कोशिश न करें, जो न्यायोचित नहीं है।' उन्होंने कहा, 'दुर्भाग्य से आप ऐसा कर रहे हैं।'

सुब्रमण्यम की यह दलील बेकार साबित हुई कि सहारा ने देरी के लिए माफी मांगी थी। बेंच ने उनकी इस दलील पर ध्यान नहीं दिया। सेबी के वकील अरविन पी दत्तर ने कहा कि मार्केट रेग्युलेटर ने सहारा के डॉक्युमेंट्स और पैसे देने से इनकार करने पर कोर्ट की अवमानना और रिव्यू पिटीशन फाइल की थी। उन्होंने दावा किया कि सहारा ने 2.7 करोड़ इन्वेस्टर्स से 27,000 करोड़ रुपए जुटाए थे।

उन्होंने कहा कि बाद में कंपनी ने दावा किया कि इस पैसे को 63 शहरों में रियल एस्टेट प्रॉजेक्ट्स में इन्वेस्ट किया गया है। अब वह क्लेम कर रही है कि उसने पूरे पैसे लौटा दिए हैं और सिर्फ 5,000 करोड़ रुपए की बाकी रकम लौटाई जानी है। इस पर जस्टिस कबीर ने जानना चाहा कि क्या कंपनी एक हफ्ते के अंदर यह रकम लौटाना चाहती है। सहारा के विरोध करने पर जस्टिस कबीर ने कहा, 'कानूनी प्रक्रिया में पड़ने का क्या फायदा है, गरीब लोगों को कैसे पैसा मिलेगा?'

Unanswered questions raised by Sebi-Sahara battle

Is The Law Being Applied With Retrospective Effect In The Case?

The legal battle between market regulator Sebi and Sahara India is expected to enter a decisive round in the New Year. The Supreme Court is soon expected to hear a review petition by the Sahara group, while Sebi is reportedly preparing to move the apex court in case Sahara fails to deposit the court-directed amount with the regulator.

Over the next few months the battle is sure to involve some of the country’s top legal minds. TOI reviewed court papers, opinions given by former judges, and orders of some of the cases that dealt with similar cases to try and discern what’s at the core of the dispute and how it has been handled. Sebi and Sahara officials declined to comment on TOI’s queries, saying the matter was sub judice.

At the core of the dispute is whether Sebi or the ministry of corporate affairs (MCA) has jurisdiction over fund raising activities by two unlisted Sahara group entities, Sahara India Real Estate Corp (SIRECL) and Sahara Housing Investment Corp (SHICL), through the private placement route. Also, whether raising money from more than 50 people, even if through the private placement route, is construed as public offering or not, because all public offers require Sebi’s permission.

For perspective, here are the facts of the case. Sahara started the offering in 2001 and closed it in 2007. Subsequently, it submitted its prospectus giving details of 1.97 crore investors to the concerned Registrar of Companies (RoC). The number of investors, above 50, was not objected to by the authorities. Then in 2008, the two companies took permissions again from two different RoCs to raise funds through optionally fully convertible debentures (OFCDs), through the private placement route and raised money from about three crore investors, all of whom were claimed to be people associated with the Sahara group.

In 2009, when Sahara Prime City, one of the group companies approached Sebi to go public, the regulator suddenly asked SIRECL and SHICL to refund all the OFCD money to investors. That began the battle.

In April 2010, Sebi forwarded some OFCD investor complaints to RoCs in UP and Maharashtra. In its letter Sebi said that these Sahara companies were unlisted and had not filed prospectus for raising funds with it, and requested the two RoCs “for examination (of the complaints) and necessary action”.

Around this time, in another case relating to an unlisted entity, Sebi said that its primary mandate was over listed entities, and requested MCA to look into allegations against unlisted companies. Around the same time, backed by inputs from an executive director of Sebi, MoS finance Namo Narayan Meena told the Lok Sabha that privately placed debentures by unlisted companies, issued under the Companies Act, were under the regulatory purview of MCA and not Sebi.

In this period, four former judges, V N Khare and A H Ahmadi, both former SC chief justices, S P Kurudkar, who was also in the SC and C Achutan, who was a member of SAT, gave separate opinions saying that MCA had the jurisdiction over OFCDs issued by SIRECL and SHICL.

In February 2011, law minister Veerappan Moily gave an opinion to MCA that the jurisdiction over the two Sahara companies was not of Sebi’s but of MCA. Mohan Parasaran, additional solicitor general, also noted that Sebi had no jurisdiction over unlisted companies such as the two Sahara companies which don’t intend to get listed. Ashok Nigam, another ASG, also held that the central government remains the regulating authority for the two Sahara companies, not Sebi. Parasaran also mentioned the contrary view of his colleague Parag Tripathi who had agreed with Sebi’s action and disagreed with the Law Ministry. Parasaran ended his opinion saying that he, however, agreed with the views of the Law Ministry.

Now, on the question of whether the OFCD offer to more than 50 people was a public issue, the SC has recently ruled that they come under Sebi’s jurisdiction. However, in 2007 Sahara had reported that there were 1.97 crore investors for its first issue and no one had objected. In addition, post this discloser, two RoCs had allowed Sahara to issue fresh OFCD issues.

The flip-flop in the case raises some questions:

•If with government permission a business is done for 11 years, can the rules be changed and the entity punished with retrospective effect?

• Can a regulator give one statement in Parliament and after a few months give a contradictory statement through an affidavit in court?

•Can Sebi state through a letter to RoC that an entity is not under it and RoC should take action, but after seven months contradict itself and issue prohibitory orders against the same entity saying it was under its purview and not MCA, the nodal ministry for RoC?

In late 2011, Sebi and Sahara had their first showdown in the Allahabad high court. The battle then moved to the SC where in August 2012 Sahara was asked to refund about Rs 25,000 crore to its OFCD holders. Last week, Sahara moved the apex court again pleading that its total liability towards OFCD holders was only about Rs 2,620 crore and this was reducing steadily as the group was paying off the investors. It also said that it has kept a Rs 2,500 crore buffer for final verification.

An apex court bench has agreed to hear the petition on Monday, setting the stage for the next twist in this fascinating battle.

सहारा घोटाला : सवाल 73,000 करोड़ रु. की सल्तनत का

हाल ही में एक घोषणा की वजह से दुनिया चौंक उठी. सहारा इंडिया फाइनेंशियल कॉर्पोरेशन लि. (एसआइ-एफसीएल) के जारी किए एक अखबारी विज्ञापन में कहा गया था कि कंपनी के पास जून, 2011 तक 73,000 करोड़ रु. की जमा इकट्ठी हो चुकी थीं. किसी गैरबैंकिंग संस्थान के लिए यह असामान्य रूप से बड़ी रकम है, जिससे पता चलता है कि कैसे सहारा सुप्रीमो सुब्रत रॉय बड़े अधिग्रहणों में पैसा लगाते आए हैं.

इनमें हाल ही में विजय माल्या के नियंत्रण वाली फार्मूला वन टीम पर 500 करोड़ रु. मूल्य का 42.5 प्रतिशत दांव लगाना शामिल है. पिछले साल के अंत में रॉय ने 3,250 करोड़ रु. लगाकर लंदन का नामी होटल ग्रॉसवेनर हाउस खरीद लिया था. रॉय का कहना है, ''पैसा कोई समस्या नहीं है. वह तो मैं कल सुबह 10 बजे दे सकता हूं. सहारा परिवार अंदर से मजबूत है. वह अपने रास्ते की सभी बाधाओं को पार कर लेगा.''

फौरी तौर पर दो 'बाधाएं' हैं. सहारा समूह ने भारतीय रिजर्व बैंक की निर्धारित 30 जून, 2015 की समयसीमा से चार साल पहले यानी 31 दिसंबर, 2011 तक 11,500 करोड़ रु. की अपनी देनदारियां चुकाने का वादा किया है. दूसरी एक और 'बाधा' है. 10 अक्तूबर को प्रतिभूति अपीली पंचाट ने अपने एक कड़े आदेश में रॉय की दो कंपनियों सहारा कमॉडिटी सर्विसेज कॉर्पोरव्शन लि. (एससीएससीएल, जिसका नाम पहले सहारा इंडिया रियल एस्टेट कॉर्पोरव्शन लि. होता था) और सहारा हाउसिंग इन्वेस्टमेंट कॉर्पोरेशन (एसएचआइसीएल) से कहा है कि उन्हें अगले छह हफ्ते के भीतर वैकल्पिक रूप से पूरी तरह परिवर्तनीय डिबेंचरों (ओएफसीडी) के जरिए उगाहे गए 24,029 करोड़ रु. वापस करने होंगे.

इस तरह रॉय को 31 दिसंबर तक कुल 35,000 करोड़ रु. से ज्‍यादा की रकम वापस करनी होगी. लेकिन ऐसा तभी होगा, जब रॉय उक्त आदेश का पालन करेंगे. उन्होंने पंचाट के आदेश को सुप्रीम कोर्ट में चुनौती देने का फैसला किया है, लेकिन रिजर्व बैंक के आदेश वाली रकम वापस करने के लिए वे वचनबद्ध हैं.

पंचाट का आदेश नवंबर, 2010 को वित्तीय बाजार की नियामक सेबी के फैसले के बाद आया, जिसने सहारा समूह की दो कंपनियों पर ओएफसीडीएस के जरिए लोगों से पैसा उगाहने का आरोप लगाया. उसमें कहा गया है कि पैसों यह उगाही निवेशकों की सुरक्षा के लिए बने नियमों का, जो इस तरह के सार्वजनिक मुद्दों को नियंत्रित करते हैं, खुलासा किए बिना की गई. रॉय इसके विरोध में कहते हैं, ''सहारा समूह के पास 30 जून, 2010 तक 1,09,224 करोड़ रु. की संपत्तियां थीं.

इनमें तरल निवेश, नगदी और बैंक में जमा राशि, सावधि जमा राशियां (19,456 करोड़ रु.); कर्जदार, कर्ज व अग्रिम राशि, आयकर रिफंड, अन्य मौजूदा पूंजी (7,629 करोड़ रु.), जमीन, निर्माण, चल रहा काम, खत्म हो चुका स्टॉक और सावधि पूंजी (82,139 करोड़ रु.) शामिल हैं. पैसा चुकाना कोई समस्या नहीं है. समस्या यह है कि दो भिन्न तत्वों को एक ही श्रेणी में नहीं रखा जा सकता. पंचाट का कदम तर्कसंगत नहीं है.''

रॉय की रहस्यमय दुनिया के इर्दगिर्द फंदा कसता जा रहा है. रिजर्व बैंक, सेबी, प्रवर्तन निदेशालय से लेकर कंपनी मामलों का मंत्रालय सरीखे कई नियामकों के बीच फंसकर वे सभी पर निशाना साध रहे हैं और भविष्य की योजना बनाते हुए उनसे लोहा ले रहे हैं. मुंबई में 2002 में 115 करोड़ रु. से खरीदे गए 223 कमरों वाले उनके होटल सहारा स्टार की निजी लिफ्ट के बाहर एक वर्दीधारी रसोइया उनका इंतजार कर रहा है. कूटभाषा वाला कार्ड स्पर्श कराकर आप उनके सफव्द रंग से रंगे विशेष कक्ष में पहुंचते हैं, जहां से एयरपोर्ट का ज्‍यादातर हिस्सा नजर आता है.

स्थिति माकूल है लेकिन रॉय की परेशानियां बरकरार हैं. जून, 2008 में रिजर्व बैंक ने एसआइएफसीएल से कहा कि वह नई जमा राशियां स्वीकार न करे और सात वर्षों में जनता की 20,000 करोड़ रु. की जमा रकम को चुकाए. पूरी तरह लगाए गए प्रतिबंध में रिजर्व बैंक ने 2011 के बाद परिपक्व होने वाली नई जमा राशियां स्वीकार करने पर रोक लगा दी. आदेश के मुताबिक 30 जून, 2011 तक कंपनी पर 9,000 करोड़ रु. से ज्‍यादा की देनदारी नहीं होनी चाहिए.

11 जुलाई, 2008 को सहारा इंडिया की ओर से प्रकाशित विवरण पत्र में दिखाया गया था कि एसआइएफसीएल ने 1987 में अपनी शुरुआत के बाद से जमा राशियों के रूप में 59,076.26 करोड़ रु.(ब्याज समेत) जुटाए और जमाकर्ताओं को 30 जून, 2008 तक 41,563.06 करोड़ रु. (ब्याज समेत) वापस किए. सेंटर फॉर मॉनिटरिंग इंडियन इकोनॉमी की ओर से संकलित आंकड़ों के मुताबिक मार्च, 2009 तक जमाकर्ताओं के प्रति देनदारी (जिसमें ब्याज भी शामिल था) 17,640 करोड़ रु. थी. मार्च, 2010 के अंत तक इसकी कुल देनदारी 13,235 करोड़ रु. थी. मार्च, 2010 के बाद का आंकड़ा उपलब्ध नहीं है, लेकिन रिजर्व बैंक के करीबी सूत्रों का कहना है कि देनदारी घटकर 9,000 करोड़ रु. से 11,500 करोड़ रु. के बीच रह गई है.

रॉय कहते हैं, भुगतान व्यवस्थित तरीके से करना होती है. ''इसलिए हम तय कार्यक्रम के मुताबिक भुगतान करेंगे, जिसके बारे में जानकारी लखनऊ में सहारा के मुख्यालय को भेज दी गई है. हम बहुत सुगठित तरीके से काम करते हैं. मुख्यालय को अपनी 3,800 शाखाओं को सलाह देनी होती है और इस तरह से भुगतान किए जाते हैं (देखें बातचीत).'' नगदी भले ही उनके लिए बड़ी चिंता न हो, लेकिन नवंबर, 2010 में सेबी के अंतरिम आदेश के तहत पूंजी जुटाने की उनकी योजनाओं का गला घोंटने का सरकार की कोशिश जरूर चिंता का विषय है.

इस आदेश से प्रभावित होने वाली उनकी दो कंपनियों में से एक, एसएचआइसीएल में उनकी मौजूदा पूंजी, नगदी और बैंक में जमा राशि करीब 725 करोड़ रु. है, जबकि एससीएससीएल में उनकी पूंजी, नगदी और बैंक में जमा राशि 4,266 करोड़ रु. है. सहारा समूह ने पिछले 10 वर्षों में आयकर और सेवा कर के रूप में कु ल 2,757 करोड़ रु. चुकाए हैं, इस तरह यह टैक्स चुकाने के हिसाब से एक समर्पित समूह बन गया है.

फिर रिजर्व बैंक ने किस वजह से इसे निशाना बनाया. इसके तार बहुत उलझे हैं. आरएनबीसी के तौर पर एसआइएफसीएल ने दैनिक जमा, आवर्ती जमा और सावधि जमा के रूप में आम लोगों का पैसा स्वीकार किया. रिजर्व बैंक और सेबी ने एसआइएफसीएल पर निशाना साधा (देखें बाक्स), क्योंकि उन्हें लगा कि वह कथित तौर पर काले धन को सफेद बनाने का काम कर रही है. अपना नाम गुप्त रखना चाह रहे एक बड़े बैंकर का कहना है, ''यह कैसे हो सकता है कि सुब्रत रॉय आपकी रजामंदी के बिना इतने वर्षों तक एक समांतर पैराबैंकिंग कंपनी चलाते रहे और अचानक सब कु छ बदल गया. यहां एक तरह से किसी को निशाना बनाए जाने की बात है, लेकिन उनके खिलाफ कार्रवाई के बारे में कोई अटकल लगाने के लिए मैं तैयार नहीं हूं.''

मई, 2004 के चुनावों के बाद जब यूपीए सत्ता में आया तो एक बड़े सरकारी पदाधिकारी और अब एक महत्वपूर्ण प्रदेश के राज्‍यपाल से कहा गया कि वे रॉय और सहारा परिवार की गतिविधियों की फाइल तैयार करें. यह फाइल बहुत गहन थी और उसने रॉय के साम्राज्‍य यानी उनके विशाल पैराबैंकिंग धंधे पर, जो उनके अपार खजाने का स्त्रोत था, करारी चोट की. अपने नोट में रिजर्व बैंक ने निर्देश दिया कि सहारा कव्वल सरकारी प्रतिभूतियों और पूरी तरह से सुरक्षित पीएसयू बैंक जमा योजनाओं में ही निवेश कर सकता है.

इसके पीछे उद्देश्य सहारा के कारोबार को ठप करना था. सरकार को इस तरह का कदम क्यों उठाना पड़ा? इंडिया टुडे ने जब इस बारे में सवाल किया, तो रिजर्व बैंक ने कोई टिप्पणी करने से इनकार कर दिया, लेकिन यह जरूर कहा कि वह एसआइएफसीएल के विज्ञापन की जांच कर रहा है.

अगर रिजर्व बैंक की ओर से सहारा को निशाना बनाया जाना पहली चोट थी तो रॉय के खिलाफ सेबी की दंडात्मक कार्रवाई दूसरी चोट है (देखें बॉक्स). आइपीओ जारी करने का मन बना रही सहारा समूह की कंपनी सहारा प्राइम सिटी लिमिटेड ने 30 सितंबर, 2009 को सेबी को दी अपनी प्रस्तावना में अपने समूह के बारे में सूचना दी थी. सेबी ने घोषणाओं को नाकाफी मानते हुए नियमों के मुताबिक सहारा की कुछ कंपनियों के बारे में सूचना मांगी. इसके बाद शब्दों की जंग में अतिरिक्त सॉलीसिटर-जनरल मोहन पारासरन ने इस मामले पर अपनी राय में कहा, ''मेरी समझ में सहारा समूह जैसी गैर-सूचीबद्ध कंपनियां, जो स्वयं को सूचीबद्ध कराना नहीं चाहती हैं, सेबी के अधिकार क्षेत्र में नहीं आती हैं.'' सहारा ने पारासरन की राय को आधार बनाते हुए कहा कि यह मामला सेबी के अधिकार क्षेत्र में नहीं आता है क्योंकि कंपनी कंपनी मामलों के मंत्रालय और कंपनी रजिस्ट्रार के अधिकार क्षेत्र में आती है.

जब सेबी ने अपने आदेश का तुरंत पालन करने के लिए कहा तो सहारा ने 31 मई, 2010 के दिनांक वाले पत्र के जरिए कंपनी मामलों के मंत्रालय को एक प्रतिवेदन भेजा, जिसमें उससे स्पष्ट करने को कहा गया कि उनकी कंपनी कंपनी मामलों के मंत्रालय के अधिकार क्षेत्र में आती है या सेबी के. 17 जून, 2010 को मंत्रालय ने सहारा को जानकारी दी कि मामले की जांच की जा रही है.

फिर उसने मामले को कानून एवं न्याय मंत्रालय के पास भेज दिया, जहां पारासरन ने सरकार के कानून अधिकारी के तौर पर पाया कि गैर-सूचीबद्ध कंपनियां सेबी के अधिकार क्षेत्र में नहीं आती हैं. कानून मंत्रालय ने भी इसी नजरिए के पक्ष में अपनी राय दी, जिसे 8 फरवरी, 2011 को तत्कालीन कानून सचिव के अलावा तत्कालीन कानून मंत्री एम. वीरप्पा मोइली ने भी मंजूरी दे दी.

इसके बावजूद सेबी को कोई फर्क नहीं पड़ा. नवंबर, 2010 में उसने एक अंतरिम आदेश में सहारा समूह की कंपनियों एससीएससीएल और एसएचआइसीएल को कारण बताओ नोटिस जारी कर दिए, जिसके जरिए उन्हें कंपनी रजिस्ट्रार को दाखिल किए गए क्रमशः 12 मार्च, 2008 और 6 अक्तूबर, 2009 के दिनांक वाले रेड हेरिंग प्रास्पेक्टस के तहत जनता से पैसा उगाहने से रोक दिया गया. ऐसा उन्होंने 1956 के कंपनी कानून की धारा 60बी के तहत किया.

उन कंपनियों को यह भी निर्देश दिया गया कि वे जनता को अपने इक्विटी शेयर/ओएफसीडीएस या किसी अन्य प्रतिभूति की भी पेशकश न करें. और फिर, सेबी ने निर्देश दिया कि रॉय, वंदना भार्गव, रवि शंकर दुबे और अशोक रॉय चौधरी सरीखे जिन लोगों का नाम प्रमोटर के तौर पर दिया गया है, उन्हें प्रास्पेक्टस या कोई अन्य दस्तावेज लाने या जनता से पैसा उगाहने वाला कोई भी विज्ञापन जारी करने से रोका जाए.

15 जुलाई, 2011 को पंचाट को फैसले के लिए मामला भेजते हुए सुप्रीम कोर्ट ने निर्देश दिया कि कंपनी मामलों के मंत्रालय को इस मामले में एक पक्ष बनाया जाए. मंत्रालय ने प्रतिवेदकों को अपना जवाबी शपथ-पत्र दाखिल करने को कहा. इसका पालन करते हुए मंत्रालय ने 26 अगस्त, 2011 और सहारा ने 30 अगस्त, 2011 को मेमो ऑफ अपील के प्रति अपना जवाबी शपथ-पत्र दाखिल किया. लेकिन अपने जवाबी शपथ पत्र में मंत्रालय ने एकदम उलटा रुख अपनाते हुए कहा कि इस मामले में सेबी को फैसला लेने का अधिकार है.

उसने कानून मंत्रालय की राय की भी अनदेखी कर दी. उसने लखनऊ हाइकोर्ट में अपने पहले के रुख से भी अलग रुख ले लिया. तब सहारा ने 30 अगस्त, 2011 को मंत्रालय को नया प्रतिवेदन भेजा. अब कॉर्पोरेट मामलों के मंत्री मोइली ने 2 सितंबर, 2011 के अपने नोट में कहा है, ''इस चरण में कंपनी मामलों के सचिव को यह विचार करना है कि यह मामला क्या दोबारा कानून मंत्रालय को भेजा जा सकता है.''

सबसे तगड़ा झ्टका सुप्रीम कोर्ट की ओर से आया, जिसने फैसला सुनाया, ''हमारा यह मत है कि ओएफसीडी के सवाल पर सेबी के फैसले की जरूरत है. सेबी को ही सुनवाई करने दी जाए और आदेश पारित करने दिया जाए.'' सहारा को लखनऊ हाइकोर्ट के आदेश के खिलाफ सुप्रीम कोर्ट में विशेष अनुमति याचिका दाखिल करनी पड़ी, क्योंकि सेबी को सहारा समूह की ओर से पूरी जानकारी मुहैया कराने के बावजूद स्थगन के अंतरिम आदेश को मानने से इनकार कर दिया गया था. चीफ जस्टिस एस.एच. कापडिया की अगुआई वाली पीठ ने सहारा समूह को सेबी के खिलाफ पंचाट में जाने को कहा.

चूंकि पंचाट ने इस मामले में अपनी राय दे दी थी, इसलिए सहारा को फिर सुप्रीम कोर्ट की शरण लेनी पड़ी. इससे पहले 26 अगस्त, 2011 को पंचाट ने एसआइएचसीएल बनाम सेबी के मामले में अपने आदेश में कहा था, ''सहारा की ओर से जारी ओएफसीडी की पेशकश जनता को की गई थी...और इसलिए यह सेबी के अधिकार क्षेत्र में है. 50 से भी कम व्यक्तियों को की गई पेशकश दरअसल निजी प्लेसमेंट है.''

दिलचस्प बात यह है कि 28 अप्रैल, 2010 को संसद में अपने एक जवाब में सरकार ने कहा था, ''निजी तौर पर दिए गए डिबेंचर 1956 के कंपनी कानून के तहत जारी किए जाते हैं, जो कंपनी मामलों के मंत्रालय के अधिकार क्षेत्र में आते हैं.'' साफ जाहिर है कि दो अलग-अलग कंपनियों के लिए दो अलग-अलग नियम हैं.

इंडिया टुडे ने जब सेबी से संपर्क किया तो उधर से कोई जवाब नहीं मिला. वह सिर्फ सहारा के खिलाफ अपने आदेश की प्रति देने के लिए ही राजी थी. बाजार से जुड़े एक व्यक्ति का कहना था, ''सुब्रत रॉय अपने दिखावे और दोस्तियों की कीमत चुका रहे हैं, लेकिन इसके पीछे भी शायद कोई न कोई कारण ही होगा, क्योंकि केंद्र सरकार की एजेंसियां पैसा उगाहने की रॉय की क्षमता के पीछे पड़ गई हैं.''

इस साल मार्च में ही रॉय ने हार्वर्ड में स्वप्रेरणा को लेकर एक भाषण दिया था. और इसी स्वप्रेरणा के चलते ही वे अपनी जिंदगी की सबसे मुश्किल लड़ाई लड़ रहे हैं.

सहारा घोटाला - 'सहारा' के दबाव में न आएं निवेशक: सेबी

नई दिल्ली।। पूंजी बाजार नियामक सेबी ने सहारा समूह की 2 कंपनियों के निवेशकों को सलाह दी है कि वे सहारा अथवा उसके एजेंटों के किसी प्रकार के दबाव में नहीं आएं।

सेबी ने सहारा ग्रुप की 2 कंपनियों सहारा इंडिया रीयल एस्टेट कॉर्प लिमिटेड (एसआईआरईसीएल) और सहारा हाउसिंग इन्वेस्टमेंट कॉर्प लिमिटेड (एसएचआईसीएल) के निवेशकों को सलाह दी है कि उनके निवेश को ग्रुप की दूसरी कंपनियों में लगाने के सहारा अथवा उसके एजेंटों के दबाव में नहीं आएं।

सुप्रीम कोर्ट ने अगस्त में सहारा समूह की इन दोनों कपंनियों को निवेशकों से जुटाए गए 24,000 करोड़ रुपये की राशि 15 प्रतिशत सालाना ब्याज के साथ 3 महीने के भीतर लौटाने का आदेश दिया था। कंपनियों ने नियमों का उल्लंघन कर पूंजी बाजार से यह धन जुटाया।

सुप्रीम कोर्ट ने सहारा की कंपनियों को निवेशकों से संबंधित सभी दस्तावेज बाजार नियामक सेबी को सौंपने का भी आदेश दिया था। सेबी ने इस संबंध में जारी एक सार्वजनिक सूचना में कहा है कि उसे निवेशकों से इस तरह की कई शिकायतें मिल रही है कि उनपर सहारा ग्रुप की तरफ से समूह की दूसरी कंपनियों में निवेश बदलने के लिये दबाव डाला जा रहा है।

Sahara Scam : OFCD ISSUE : SC rejects Sahara review plea, seeks 24k cr refund

New Delhi: The Supreme Court has rejected the petitions of two Sahara companies for review of its August 31 judgment directing them to refund Rs 24,000 crore they had collected between 2008 and 2011 from over 2.96 crore investors flouting mandatory regulatory provisions and the Companies Act.

The three-month deadline given by the bench of Justices K S Radhakrishnan and J S Khehar, which authored the August 31 judgment, was extended on December 5 by a three-judge bench headed by Chief Justice Altamas Kabir allowing the Sahara firms to deposit the money in two installments, one in January first week and the second by February first week.

Since the Sahara firms had deposited Rs 5,120 crore with market regulator Securities and Exchange Board of India (Sebi) on December 5 claiming that they owed only Rs 2,000-odd crore to the investors and the rest as buffer for any additional claim, it had moved an additional application seeking stay of the August 31 judgment and in the alternative seeking to give bank guarantee for Rs 10,000 crore, which was the first installment due in January first week. But on Tuesday, the bench of Justices Radhakrishnan and Khehar refused to stay operation of the August 31 judgment and also rejected the review petitions of Sahara India Real Estate Corporation Ltd and Sahara Housing Investment Corporation Ltd. This means, the Sahara firms will have to deposit the balance amount of nearly Rs 19,000 crore with Sebi soon.

However, they have also mentioned another application before the bench headed by Chief Justice Altamas Kabir seeking to point out that their liability was limited to Rs 2,000-odd crore since most investors had been refunded through their field officers.

While rejecting review of the August 31 judgment, Justices Radhakrishnan and Khehar said, “We do not find any inconsistency in the view expressed by both of us.”

In its August 31 judgment, the court had said Sebi was right in faulting SIRECL and SHICL for the manner in which they raised huge funds bypassing statutory requirements. SIRECL had floated Optionally Fully Convertible Debentures (OFCDs) as an open-ended scheme and collected over Rs 19,400 crore from April 25, 2008 to April 13, 2011 from 2.21 crore investors.

Sahara Scam : SC refuses to restrain Sebi from action in Sahara case

The Supreme Court on Monday refused to pass any urgent order on restraining market regulator Securities and Exchange Board of India (Sebi) from taking any coercive action against the Sahara group, which has reportedly failed to pay its first instalment of Rs 10,000 crore last week.

Appearing for the group and its two companies — Sahara India Real Estate Corporation (SIRECL) and Sahara Housing Investment Corporation (SHICL), senior advocate Ram Jethmalani urged a Bench led by Justice K S Radhakrishnan to restrain, in the interim, Sebi from resorting to coercive actions against them for breaching the court’s directives on payment.

Justice Radhakrishnan however refused to pass any such order at this juncture. “Please don’t make such submissions. We cannot pass any interim order today to restrain Sebi. Moreover, it is not the appropriate Bench for hearing your plea. The combination of judges is different for the Bench that had passed the final order,” said the judge.

The court also refused to take up Sahara’s application on an urgent basis and told Jethmalani that their plea would come in due course after the registry lists it and places it before the appropriate Bench, which comprises Justice Radhakrishnan and Justice K S Khehar.

It however allowed Sahara’s request to file an additional affidavit for consideration of the court, which will on Tuesday adjudicate its review against the August-judgement that had ordered the firms to refund the money collected through debentures and submit the related documents before Sebi for verification.

Last week, the apex court had refused early hearing of its plea that sought modification of December 5 order giving the conglomerate time till February to refund Rs 24,000 crore raised from around three crore investors. The two firms sought stay on the direction on refund till its review plea is decided, saying the Rs 5,120 crore deposited with Sebi was in excess of the amount needed.

सहारा इंडिया का नया घोटाला - क्यू शॉप के जरिए फ्राड

क्यू शाप के जरिए फ्राड (1) : सहारा इंडिया रियल एस्टेट के विरुद्ध कंपनी रजिस्ट्रार की जांच शुरू
कंपनी रजिस्ट्रार, कानपुर द्वारा सहारा इंडिया रियल एस्टेट कोर्पोरेशन लिमिटेड के खिलाफ आईपीएस अधिकारी अमिताभ ठाकुर, सामाजिक कार्यकर्ता नूतन ठाकुर तथा एक भुक्तभोगी आशीष वर्मा की तरफ से दायर शिकायत में जांच शुरू कर दी गयी है. अमिताभ और नूतन को यह ज्ञात हुआ था कि सहारा इंडिया एक कथित उपभोक्ता सामग्री नेटवर्क सहारा क्यू के नाम पर सेबी के नियंत्रण से बच कर पैसे एकत्र कर रहा है. अतः इन दोनों ने एक-एक हज़ार रुपये के दो बांड ख़रीदे.

बांड खरीदते समय उन्हें यह बताया गया कि यह एक निवेश योजना है जिसमे छह साल बाद 1000 रुपये पर 2335 रुपये दिये जायेंगे. इस तरह जहाँ बाह्य तौर पर सहारा क्यू अपने आप को उपभोक्ता सामग्री नेटवर्क बताता है, यह वास्तव में एक निवेश योजना के रूप में संचालित किया जा रहा है.  तीसरे शिकायतकर्ता, एक बेरोजगार युवा आशीष के अनुसार उसके रुपये 58,000 के चार एडोबे बांड अर्थात रुपये 2, 32,000 उसे वापस नहीं दिये जा रहे हैं और उन्हें एकपक्षीय रूप से सहारा क्यू शॉप में परिवर्तित किये जाने की बात कही गयी है.

इन शिकायतों के आधार पर कंपनी रजिस्ट्रार, कानपुर ने सहारा रियल एस्टेट को इन सभी आरोपों पर साक्ष्य सहित प्रस्तरवार स्पष्टीकरण देने को कहा है. उन्होंने इसके अलावा पांच प्रश्न भी पूछे हैं- क्या  सहारा रियल एस्टेट बांड को सहारा क्यू शॉप में परिवर्तित करने हेतु धारा 297 कंपनी अधिनियम में कोई अनुमति ली गयी है, सहारा रियल एस्टेट के बांड में पैसा लौटने की जगह सहारा क्यू शॉप से सामान ख़रीदे जाने सम्बंधित शर्तें, क्या सहारा रियल एस्टेट के प्रोस्पेक्टस में सहारा क्यू शॉप के सामन खरीदने की बात कही गयी है, क्या सुप्रीम कोर्ट आदेश में पैसा लौटने की जगह बांड परिवर्तन की व्यवस्था है और अब तक कैश/बैंक के माध्यम से वापस किये गए तथा शेयरों के माध्यम से परिवर्तित किये गए धन का प्रतिशत, उनके पूर्ण विवरण के साथ. कंपनी रजिस्ट्रार ने कहा है कि यदि दस दिनों के अंदर उत्तर नहीं मिलता तो कंपनी तथा उसके निदेशकों के खिलाफ कंपनी अधिनियम में दंडात्मक कार्यवाही की जायेगी.

क्यू शाप के जरिए फ्राड (2) : सहारा के खिलाफ सेबी को भेजे गए आईपीएस अमिताभ के पत्र को पढ़ें
अपने जाल में सहारा लगातार फंसता जा रहा है. अपने फ्राड के कारण ढेर सारे जांचों में घिरे सहारा समूह को अब लपेटा है एक आईपीएस अधिकारी ने. यूपी कैडर के अमिताभ ठाकुर ने सेबी के चेयरमैन को पत्र लिखकर सहारा के एक नए फ्राड का खुलासा किया है और इसकी जांच कराने की मांग की है. अमिताभ ने अपने पत्र की प्रति कई सरकारी विभागों-मंत्रालयों के पास भी फारवर्ड किया. उनकी शिकायत को संज्ञान में लेकर जांच शुरू हो चुकी है. ये वो पत्र है जिसमें अमिताभ ने सहारा समूह द्वारा क्यू शाप के जरिए किए जा रहे गोलमाल के बारे में लिखकर सेबी चेयरमैन समेत कइयों को भेजा है...

That the representation discussed the implications of the order of the Hon’ble Supreme Court in Sahara India Real Estate Company vs Securities & Exchange Board Of India (SEBI, for short) & others dated 31/08 2012 in Civil Appeal No. 9833 of 2011 was announced which ordered the Sahara conglomerate to refund more than $3 billion it had raised from millions of small investors through Sahara India Real Estate Corporation Limited and Sahara Housing Investment Corporation Limited

3. That the representation also discussed about another new venture of Sahara India Parivar where it was being alleged that just like Sahara India Real Estate Corporation Limited and Sahara Housing Investment Corporation Limited, money was being raised by Sahara India the so-called Consumer products network, called the Sahara Q Shop in contravention of the various provisions of the Companies Act, DIP Guidelines, ICDR Regulations, SCR Act etc and that Sahara India was preferring this circuitous and round-about way to raise and collect public money in the garb of getting advance from the customers for buying a complete range of goods of this company chosen from their brochures.

4. That the two petitioners No 1 and 2 brought two “bonds” (investment receipts) with receipt no 071034485933 (in the name of petitioner No 1) and 071034485933 (in the name of petitioner No 2) from the Sahara Q shop which the Sahara Q shop staff backdated to 22/10/2012.

That the representation also dealt with the case of petitioner No 3 who had invested a total sum of Rs. 2, 32,000/ in four Adobe bonds of Rs. 58,000/ each which he had bought on 26/02/2011 through control Nos 17024001018-17024001021 (4 adobe bonds of Rs. 58,000 each) and in whose case, instead of complying with the order of the Hon’ble Supreme Court, the Branch Manager told the petitioner No 3 that his “Bonds” had been converted into Sahara Q shop “bonds”.

That it is for the above mentioned reasons that the three petitioners had approached all the appropriate suitable forums, viz. the SEBI, the Ministry of Corporate Affairs, Government of India, the Registrar of Companies, Mumbai, the Ministry of Consumer Affairs and the Reserve Bank of India along with the Prime Minister’s office, presenting all the above-mentioned facts to take all the appropriate and necessary actions in this case, related with the following two facets of the so-called Sahara Q shop-

(a) Orally saying and assuring a return of Rs. 2335 on every investment/bond/purchase of Rs. 1000 bond/coupon/customer copy while saying in the “General Terms and Conditions” of its customer copy-“ Global Advance of minimum of Rs. 10900 for buying complete range of goods but there will be no interest ever on advance amount” and thus trying to bye-pass the authority of various regulatory authorities, including SEBI, the RBI, the Ministry of Corporate Affairs and whosoever else is concerned

(b) Forcibly and unilaterally converting the bonds/shares/scrips/investments etc in Sahara India Real Estate Corporation Limited and Sahara Housing Investment Corporation Limited to Sahara Q shop without any consent of the investor, in defiance of the orders of the Hon’ble Supreme Court

7. That so far no action seems to have been taken in this matter. Hence, we present this representation in our individual capacity once again to take all possible necessary actions as per the provisions of law to stop this situation of making mockery of law and to bring regulation and order in the financial market, thus saving the innocent investors.
